1. Acceptance of Terms

By accessing or using services provided through topnotchservers.net ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and Top Notch Servers ("we," "us," or "our").

These Terms apply to all users of the Top Notch Servers platform, including visitors, registered account holders, and paying customers utilizing our premium hosting infrastructure. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity.

We reserve the right to modify these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the modified Terms. Material changes will be communicated via email at least thirty (30) days before they take effect.

2. Service Description

Top Notch Servers provides premium cloud server hosting, dedicated infrastructure, managed services, NVMe storage solutions, enterprise DDoS protection, and white-glove support. Our platform is designed for business-critical workloads requiring the highest levels of performance, security, and reliability.

Service specifications — including compute resources (CPU cores, clock speed, RAM), storage (NVMe SSD), network capacity (bandwidth, port speed), and available features (firewalls, snapshots, monitoring, managed services) — are described on our website and within the client portal. These specifications represent dedicated resources allocated exclusively to your services.

We may update, modify, or discontinue specific features with reasonable notice. Top Notch Servers does not guarantee compatibility with all third-party software, hardware, or systems. It is your responsibility to verify compatibility with your specific requirements. Our premium support team is available to assist with compatibility assessments and migration planning.

Top Notch Servers performs regular infrastructure maintenance to ensure optimal performance. Emergency maintenance may be conducted without advance notice when necessary to address critical security vulnerabilities or prevent service degradation.

3. Account Registration & Security

You must provide accurate, current, and complete information during registration and maintain the accuracy of such information. You are responsible for maintaining the confidentiality of your account credentials, including passwords, API keys, and SSH keys.

You are solely responsible for all activities that occur under your account. You must notify Top Notch Servers immediately of any unauthorized use of your account or any other security breach. Top Notch Servers will not be liable for any loss arising from unauthorized use of your account.

We strongly recommend enabling two-factor authentication (2FA) on your account. Accounts may not be shared, transferred, or assigned to another party without prior written consent. We reserve the right to suspend accounts that we reasonably believe have been compromised to protect your data and infrastructure.

You must be at least eighteen (18) years of age to create an account and use Top Notch Servers services.

4. Acceptable Use Policy

You agree not to use Top Notch Servers services for any unlawful purpose or in violation of applicable laws and regulations. Prohibited activities include but are not limited to:

  • Distributing or hosting illegal content, malware, ransomware, or phishing materials
  • Sending unsolicited bulk email (spam) or operating open mail relays
  • Engaging in resource abuse, including cryptocurrency mining without prior written authorization
  • Attempting unauthorized access to other systems, accounts, or networks
  • Conducting denial-of-service attacks, port scanning, or network probing of third parties
  • Violating intellectual property rights or privacy rights of third parties
  • Operating open proxies, VPNs, or TOR exit nodes intended to circumvent legal restrictions
  • Hosting content that promotes violence, hatred, discrimination, or child exploitation
  • Running processes that degrade service quality for other premium customers
  • Circumventing resource limits, security controls, or rate-limiting mechanisms

Violation of this policy may result in immediate suspension or termination of services without prior notice or refund. Repeated violations will result in permanent account termination. We may report suspected illegal activities to appropriate authorities.

5. Service Level Agreement

Top Notch Servers guarantees 99.99% network and infrastructure uptime, measured on a monthly basis. Uptime percentage is calculated as: ((total minutes in month − downtime minutes) / total minutes in month) × 100. Scheduled maintenance windows are communicated at least 48 hours in advance and excluded from calculations.

In the event that uptime falls below the guaranteed threshold, eligible customers may request service credits. Credit requests must be submitted within thirty (30) days of the incident via our support system.

Credit tiers: for monthly uptime between 99.9% and 99.99%, a credit of 10% of monthly fees; between 99.0% and 99.9%, a credit of 25%; below 99.0%, a credit of 50%. Maximum credit is 50% of the monthly fee for the affected service. Credits are applied as account balance and are not refundable as cash.

This SLA does not apply to disruptions caused by: (a) force majeure events; (b) customer-initiated actions; (c) third-party service failures; (d) scheduled or emergency maintenance; or (e) DDoS attacks exceeding mitigation capacity. Premium customers with custom SLA agreements are governed by the terms of their specific agreement.

6. Payment Terms & Billing

Services are invoiced on a monthly billing cycle unless a custom billing arrangement has been agreed upon. Payment is due within fourteen (14) days of the invoice date. All prices are stated in USD and are exclusive of applicable taxes unless otherwise specified.

Failure to make timely payment may result in suspension of services. Top Notch Servers reserves the right to charge interest on overdue amounts at a rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower. Services suspended due to non-payment may be terminated and data deleted after thirty (30) days of continued non-payment.

Services renew automatically at the end of each billing period unless cancelled prior to renewal. Price changes are communicated at least thirty (30) days in advance and take effect at the next billing cycle. Existing contractual pricing is honored for the full term. Prorated refunds are available for unused time on cancelled services.

You are responsible for all applicable taxes and duties. Custom billing terms are available for enterprise customers on request.

7. Data Protection & GDPR Compliance

Top Notch Servers is fully committed to compliance with the General Data Protection Regulation (GDPR), the Dutch Implementation Act (UAVG), and applicable data protection legislation. All customer data is stored exclusively in European data centers within the EEA with enterprise-grade physical and digital security.

Data is encrypted both at rest (AES-256) and in transit (TLS 1.3). We maintain strict access controls, conduct regular security audits and penetration testing, and implement comprehensive technical and organizational measures to protect your data.

As a data processor, Top Notch Servers processes personal data only as instructed by you, the data controller. We do not sell, share, or use your data for advertising. A Data Processing Agreement (DPA) is available on request.

Data breach notifications are issued within seventy-two (72) hours per GDPR requirements. You may exercise your data rights — access, rectification, erasure, portability — at any time.

8. Intellectual Property

All content, trademarks, logos, software, and documentation provided by Top Notch Servers — including the client portal, management APIs, control panel, and website — are the exclusive property of Top Notch Servers or its licensors and are protected by applicable intellectual property laws.

You retain full ownership of all data, content, and applications you upload, store, or run on Top Notch Servers infrastructure. You grant Top Notch Servers a limited, non-exclusive license to host and process your content solely for the purpose of providing the contracted services. This license terminates when your account is closed and data is deleted.

You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Top Notch Servers platform. You may not reverse-engineer, decompile, or extract source code from proprietary software unless applicable law expressly permits it.

If you provide feedback or suggestions, you grant Top Notch Servers a perpetual license to use such feedback without compensation.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Top Notch Servers' total aggregate liability shall not exceed the total fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall Top Notch Servers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, regardless of the theory of liability.

Top Notch Servers is not liable for failures caused by force majeure, third-party disruptions, customer-initiated actions, or cyberattacks. This limitation applies to the fullest extent permitted by the laws of the Netherlands.

Some jurisdictions limit exclusions; in those cases, liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Top Notch Servers, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of Top Notch Servers services or activity under your account
  • Your violation of these Terms or any applicable law or regulation
  • Infringement of third-party intellectual property, privacy, or publicity rights
  • Content you store, transmit, or distribute through Top Notch Servers infrastructure
  • Any dispute between you and a third party relating to your use of the services

Top Notch Servers reserves the right to assume exclusive defense of any indemnified claim. This obligation survives termination of these Terms.

11. Termination & Cancellation

Either party may terminate this agreement by providing thirty (30) days' written notice. Top Notch Servers reserves the right to terminate services immediately in the event of a material breach of these Terms, including violations of the Acceptable Use Policy.

Upon termination, you are responsible for exporting your data prior to the effective termination date. Data will be retained for thirty (30) days following termination, after which it will be permanently and irreversibly deleted from our systems, including all backups and snapshots.

Outstanding invoices remain due after termination. Prorated refunds are provided for unused time in the current billing period. Provisions that by their nature should survive — including liability, indemnification, and intellectual property — continue in effect.

12. Dispute Resolution

In the event of a dispute, the parties shall first attempt resolution through good-faith negotiation. Either party may initiate by providing written notice describing the dispute and the relief sought.

If unresolved within thirty (30) days, either party may escalate to mediation in the Netherlands with costs shared equally. Each party bears its own legal costs.

If mediation fails within sixty (60) days, either party may pursue formal proceedings in the competent courts of the Netherlands. Nothing in this section prevents either party from seeking injunctive or equitable relief at any time.

13. Modifications to Terms

Top Notch Servers reserves the right to update these Terms at any time. Changes are posted on this page with an updated "Last updated" date. For material changes, we provide at least thirty (30) days' advance notice via email.

Continued use after modifications constitutes acceptance. If you disagree, discontinue use before changes take effect and cancel for a prorated refund. Non-material changes may be made without advance notice. The current version is always available on our website.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.

If any provision is found unenforceable, it shall be enforced to the maximum extent permissible and the remaining provisions remain in full force. Our failure to enforce a right does not waive it. These Terms, together with our Privacy Policy and any applicable service-specific agreements, constitute the entire agreement between you and Top Notch Servers.
